Article 1 – Denomination A Foundation called “ARPA FOUNDATION” has been established for the initiatives of the Surgery Researches of the Pisana Association. The Foundation, according to the Law 460/1997, will use the denomination “O.N.L.U.S” which means “Non Lucrative Association of Social Utility” as designated, concerning the distinctive sign in the communication with the public. As told above-mentioned the Foundation will have the following denomination: “ARPA FOUNDATION-ONLUS.”
Article 2 – Seat of the Company   The Foundation is located in Pisa, Via Francesco Crispi n. 35.
Article 3 – Aims and Purposes   The Foundation has the purpose to promote any study activities, research, documentation and update in the medical and surgery fields. The Foundation aims at promoting and sustaining the research projects, which comply with several interest fields, such as the oncology, the new technologies and the study of organized models and sanitary economy. In this direction, the Foundation operates through the direct financing of scientific researches by the scholarships for Italy and abroad and with contracts of scientific collaboration to allow the students and the young researchers the acquisition of new knowledge and specific competitions in that field. The Foundation also promotes inter exchanges between students and graduates with University Institutions of Foreign Countries by creating the bases for the birth and the development of common research programs. For this purpose the Foundation suggests to invest capitals at its disposal, to buy equipment and research instruments and real assets where to organize suitable operating structures for the purposes above mentioned.
Article 4 – Purpose of Solidarity    The Foundation, independent without any political parties involved in it, has not any lucrative purposes and carries out its activity solely for public utility purposes. The Foundation will not carry out different activities without diverging from the aims and the purposes above mentioned, except for the ones directly connected or strictly prearranged as supplementary of themselves. The Foundation does not expect to lead a business activity management, as a sole and main subject, but aims to be law regulated not only by the Civil Code, by the articles as follows: art.87, paragraph c) and from 108 till 11 ter of the D.P.R. n. 917/86 and by the Legislative Decree 460/97.
Article 5 – Heritage and Fiscal Year   The Foundation Heritage is formed by the original donation fund and the money and nature grants by a third party, doomed to the increase of the fund itself. The financial and patrimonial assets forming the donation fund as indicated above, cannot be directly used to finance the initiatives and the aims of the Foundation.   The Foundation activity should be financed by shoving the internal financial assets such as the income produced from the donation fund, and the external financial assets represented by the contributions, donations and/or the distribution without any shares assignments, with the aim to finance the above mentioned activity. Any management profits or remainders should be employed for the realization of the institutional activity and all other activities as stated in the article 3 of the present charter. However it is forbidden to distribute indirectly, management profits and remainders, not to mention, funds, reserves or capital during the life of the Foundation, unless the destination and distribution are not prescribed by the law or are carried out towards other ONLUS which belong to the same unitary structure according to the laws, regulations and charters.
Article 7 – The Organs   The Organs of the Foundation are as follows:
– The President
– The Honorary President
– The Board of Directors
– The Scientific Committee
– The Audit College.
Article 11 – The Scientific Committee   The Scientific Committee is composed by Italian and foreign scholars who enjoy particular status and consideration as experts in the Fields of Activity of the Foundation. The Committee Members are summoned by the Board of Directors by an absolute majority of his members, and last four years. The outgoing members shall be nominated afresh. The Scientific Committee prepares the scientific programs and the cultural initiatives to be subjected to the Board of Directors. The Scientific Committee nominates a President who participates with consultative vote to the Board of Directors’ Meetings when decided by the Board.
Article 13 – Duration  The Foundation is founded without limits of duration.
Article 15 – Postponement clauses   In so far as not foreseen in the present Charter, the norms of Civil Code are deemed to apply about the Foundation, and in case of whenever issue not disciplined, the Committee and Partnerships’ norms will be applicable.
